This Terms of Service Agreement (“Agreement”) is made between NewsWyze (Gist), LLC (“NewsWyze”, “we” or “us”) operator of (gistit.ai and newswyze.com) (including all subdomains), social media account postings controlled by NewsWyze, any application programming interface (the “API”), and all other products, services and applications available therewith (collectively, the “Services”) and You (“User”) who may access and use the Services and technology thereon or via social media postings only pursuant to the following terms and conditions.

Residency and Age.

By accessing and using the Services, User hereby represents, warrants, and affirms that it is either at least 18 years of age, an emancipated minor, or has acquired a parent or guardian’s consent. User hereby affirms that it is, at a minimum and without exception, 13 years old. The Services are not intended to be accessed or utilized by children less than 13 years of age.

Law Governing Performance and Disputes

This Agreement, your performance under it, and any disputes arising under it shall be governed exclusively by the laws of the United States of America and the State of New York, without giving effect to their conflict of laws principles. You expressly consent to the exclusive forum, jurisdiction, and venue of the Courts of the State of New York in New York County and the United States District Court for the Southern District of New York in any and all actions, disputes, or controversies relating to this Agreement.

Dispute Resolution

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these legal terms, (each a “Dispute“ and collectively, the “Disputes) brought by either of you, or us, (individually, a Party, and collectively the “Parties”), the Parties agree to first attempt to negotiate any Dispute, (except those Disputes expressly provided below) informally for at least 30 days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other party.

Arbitration

All disputes arising under this agreement shall be governed by and interpreted in accordance with the laws of New York, without regard to principles of conflict of laws. The parties to this agreement will submit all disputes arising under this agreement to arbitration in New York City, New York before a single arbitrator of the American Arbitration Association (“AAA”). The arbitrator shall be selected by application of the rules of the AAA, or by mutual agreement of the parties, except that such arbitrator shall be an attorney admitted to practice law in New York. No party to this agreement will challenge the jurisdiction or venue provisions as provided in this section. General Terms

This Agreement, together with and any policies and rules posted on the Services by NewsWyze, constitute the complete and exclusive and final expression of the agreement of the parties with respect to the subject matter hereof. No waiver by either NewsWyze or you of any breach or default under this Agreement shall be deemed to be a waiver of any preceding or subsequent breach or default. This Agreement shall be binding upon and inure to the benefit of NewsWyze and its successors, trustees, and assigns. NewsWyze may assign this Agreement, or any of its rights or obligations under this Agreement without notice to you. Any such assignment by NewsWyze does not relieve you of your obligations under this Agreement.
